Introduction

Konseye: The Mentorship Network℠ is provided to you by Amaryllis Sage LLC. This document is a legal agreement between you and Amaryllis Sage LLC (also referred to as “we” and “us”). These terms govern your use of www.konseye.org, www.thementorshipnetwork.org, and all supporting and affiliated sites, products, services, and applications identified by the logo and coordinated links to Konseye: The Mentorship Network.

You must be at least 18 years of age to use this site and the products and services described herein.

Acceptance of Terms of Use

By accessing and using our website, applications, products, and any content and features therein, you agree to be bound by these Terms of Use, the Privacy Policy, and Community Code of Conduct, as well as any other guidelines and rules published by us on our services and activities, as amended from time to time with or without notice to you. Please read the site’s Privacy Policy and Community Code of Conduct which are incorporated by reference within these Terms of Use, and which are available at the bottom of each page of the website.

Please read these Terms of Use carefully and periodically. If you do not accept and agree with these Terms of Use, together with our Privacy Policy and Community Code of Conduct, please do not access the platform or services therein. You must cease use immediately as continued use and access of the platform and services is expressly conditioned upon your assent to all the Terms of Use and those incorporated by reference.

Registered users of our Services are “Members” and unregistered users are “Visitors.”

You agree that by clicking “Join Us”, or similarly registering, accessing, or using our services (described below), you are agreeing to enter into a legally binding contract with Amaryllis Sage LLC (even if you are using our services on behalf of a company). If you do not agree to this contract, do not click “Join Us” (or similar), and do not access or otherwise use any of our services. If you wish to terminate this contract, at any time you can do so by closing your account and no longer accessing or using our services.

Service Availability

The websites, products, applications, and services are provided to you on an “AS IS” basis. You agree that we reserve the right to modify, suspend or discontinue the provision of this website and its services, and to remove the data you provide, either temporarily or permanently, at any time, without notice and without any liability towards you. You agree that we will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services. You can stop using our Services at any time.

We do not promise to store or keep showing any information and content that you have posted. You agree that we have no obligation to store, maintain, or provide you with a copy of any content or information that you or others provide except to the extent required by applicable law and as noted in our Privacy Policy.

We make no representations or warranty about the services, including any representation that the services will be uninterrupted or error-free.

Your Responsibilities and Registration Obligations

When you register for membership into Konseye: The Mentorship Network, you will gain access to member features and services. If you have chosen not to register or join, you may access certain general features of the website as a visitor.

In order to use and have access to the services, you represent and warrant to us that:

You are aged 18 years or older and are capable of forming a binding contract and accepting the Terms of Use.

You will have only one account and are submitting registration information that is accurate, truthful, and is not misleading or impersonating another person. You warrant to keep this information up to date. We reserve the right, exercised at our discretion, to refuse or cancel registration, or cancel a username that is not in conformity with the Terms of Use.

You are solely responsible for activities under your account. You will protect your account and keep your password and other account details confidential. You agree to immediately notify us of any security breach or unauthorized use of your account and/or password.

You will abide by the Community Code of Conduct which is incorporated by reference into the Terms of Use.

You agree that you will not develop, support, or use anything to scrape the services, copy profiles, and/or extract any data from these services, websites, and applications.

You agree that you will not use the services to send spam and unsolicited products or services to other users.

You will not use the website or services to do anything:

That breaches the Terms of Use, Community Code of Conduct, or other guidelines that apply to your use of, and access to, Konseye: The Mentorship Network.

That could disable, overburden, or otherwise impair the proper working or appearance of the website or services, such as uploading or otherwise disseminating viruses or malicious codes.

That results in the access or collection of data that you do not have permission to access or collect.

That implies that you are affiliated with the brand and services we provide.

You agree that will not do anything that infringes or violates another person’s rights including their intellectual property rights, or violates the rights of Amaryllis Sage LLC, including, without limitation, (i) copying or distributing materials and content posted or (ii) using our logo, brands, and the words “Konseye,” “The Mentorship Network”, “Konseye: The Mentorship Network,” in any business name, email, or URL without our authorization.

You agree that you will not rent, lease, trade, or otherwise monetize the services or related data and access to the same without the consent of Amaryllis Sage LLC.

You agree that you will not use bots or other automation to access the services, add or download contacts, or send or redirect messages. You agree that you will not engage in “mirroring” or otherwise simulating the appearance and/or functions of the services provided as Konseye: The Mentorship Network.

You agree that you will not engage in the promotion of services owned by you or other entities without our express authorization.

Notices and Messages

You agree that we will provide notices and messages within the service and/or to the contact information you provided us. You agree to keep your contact information updated. You can control and limit the nature and frequency of messages that you receive from us by reviewing your settings.

Limits on Member Services

You agree that we have the right to limit how you connect and interact with our services, including connections and the ability to contact other Members and Mentors. We reserve the right to restrict, suspend, or terminate your account if you breach this Terms of Use or the law, or if you misuse the or engage in conduct in contravention of the Terms of Use, Community Code of Conduct, or any other guidelines applicable to your use of the websites, applications, products, and services.

Our Intellectual Property Rights

Amaryllis Sage LLC reserves all of its intellectual property rights in the Services. Trade and/or service marks and logos used in connection with the services provided are the trademarks of Amaryllis Sage LLC.

Your Intellectual Property Rights

You retain ownership of the intellectual property rights in any such content that you create and share on Konseye: The Mentorship Network and other affiliated products, services, websites, and applications. Nothing in these Terms takes away the rights you have to your own content.

You grant to us a royalty-free, non-exclusive, perpetual, irrevocable license to use, copy, edit, adapt, publish, reproduce, translate, sub-license, create derivative works from, make available, communicate, display, store, and distribute your content (in whole or part) and/or to incorporate it in other works in any form, format, media, or technology now known or later developed (including without limitation in print, digital and electronic form) throughout the world in accordance with the provisions of these Terms. By submitting your content, you warrant that you have the right to grant this license. To the extent permitted by law, you waive all moral rights in your content. To the extent that you are unable to waive any such moral rights, you agree not to assert the same.

Notice of Copyright Infringement

We respect your intellectual property rights. If you believe in good faith that your intellectual property rights have been infringed upon, please notify us by completing and submitting this Copyright Infringement Notice Form, or otherwise providing us with written notice as follows:

A physical or electronic signature of the copyright owner or someone authorized on the owner's behalf to assert infringement of copyright and to submit the statement.
Identification of the copyrighted work(s) claimed to have been infringed.
A description specifying the location on our website of the material that you claim is infringing.
Your email address and your mailing address and/or telephone number that would enable us to contact you.
A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
A statement by you, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

Any notice, or response to a notice, of copyright infringement must be truthful and submitted under penalty of perjury. A false notice or counter-notice may give rise to personal liability.

Upon receipt of such a notice of claimed infringement, Amaryllis Sage LLC will investigate the claim and take the necessary action which may include removing or disabling access to any content that is claimed to be infringing upon the copyright of another. We reserve the right, in appropriate circumstances and at our discretion, to disable and/or terminate the accounts of members who infringe or repeatedly infringe the rights of others or otherwise post unlawful content.

Disclaimer of Warranties and Limitation of Liability

You understand and agree that your use of this website and any of its services or content provided is at your own risk.

AMARYLLIS SAGE LLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EITHER IMPLIED OR EXPRESS, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not endorse or accept any responsibility for any views, advice, recommendations, or opinions expressed on any website to which we link. Any contact or arrangements made between you and any third party named on the website or any third-party website linked from it is at your own risk, and Amaryllis Sage LLC accepts no liability.

You expressly understand and agree that Amaryllis Sage LLC will not be liable for any direct, indirect, special, incidental, consequential, or exemplary damages. Our liability shall be limited to the fullest extent permitted by applicable law. Such limitation of liability includes, but is not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses (even if the site administrator has been advised of the possibility of such damages), resulting from:
- The use of services or the inability to use services;
- The cost of obtaining substitute goods and/or services resulting from any transaction entered into through the services provided by Konseye: The Mentorship Network;
- Unauthorized access to, or alteration of, your data transmissions;
- Statements by any third party or conduct of any third-party using services; or
- Any other matter relating to services.

AMARYLLIS SAGE LLC WILL NOT BE LIABLE TO YOU IN CONNECTION WITH THIS CONTRACT FOR ANY AMOUNT THAT EXCEEDS (A) THE TOTAL FEES PAID OR PAYABLE BY YOU FOR THE SERVICES DURING THE TERM OF THIS CONTRACT, IF ANY, OR (B) US $10.

Indemnity

You agree to indemnify and hold harmless Amaryllis Sage LLC and its officers, directors, members, employees, sub-contractors, agents, representatives, assigns, and affiliates from any and all claims, actions, suits and liabilities, losses, damages, costs, and expenses (including legal and expert fees) that may arise out of, or in connection with, your use of the websites, applications, products, and services.

Feedback

You agree that we may use feedback and other suggestions without any restriction or obligation to compensate you. Any data, comments, or materials that you supply via the Website or provide to us on Konseye: The Mentorship Network to receive support, including feedback data, such as questions, comments, and suggestions shall be deemed to be non-confidential and non-proprietary. Amaryllis Sage LLC shall have no obligation of any kind with respect to such feedback and shall be free to reproduce, use, disclose, exhibit, display, transfer, create derivative works, and distribute the feedback to others without limitation, except for personal information which might be included in the feedback. Furthermore, Amaryllis Sage LLC shall be free to use any idea, concepts, knowledge, or techniques contained in such feedback for any purpose whatsoever, including developing, manufacturing, and marketing products incorporating such feedback.

Changes to the Terms of Use

We reserve the right to amend any part of the websites, products, applications, or services and to add to or change these at any time.

Cancel Your Account

We do not yet have a delete function for users; however, should you wish to cancel and delete your account, email us from your registered email address at admin@konseye.org with the subject [DELETE ACCOUNT] and let us know that you would like it cancelled. You are at liberty to share your reasons for cancellation.

Termination

This Agreement shall remain in full force and effect while you access and use the Service unless your account is terminated as provided in this Agreement.

Dispute Resolution

If You have any concerns or disputes about the website, products, applications, or services provided, you agree to attempt to resolve the dispute informally by contacting us.

By accessing the websites, products, applications, and any services you agree to accept that these Terms of Use are governed by and construed in accordance with the laws of Wyoming, United States of America. You also accept the exclusive jurisdiction of courts in Wyoming, in relation to any dispute that may arise in connection with these Terms of Use or your use of the websites, products, applications, and/or services or arising in any way from the content. Any failure to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision.

In the event that any provision of these Terms of Use is deemed to conflict with legislation by a court with jurisdiction over the parties, the said provision will be interpreted to reflect the original intentions of the parties in accordance with applicable law, and the remainder of these Terms of Use will remain valid and applicable.

You agree that any claim or cause in respect of this website or its services must be filed within one (1) year after such claim or cause arose, or the said claim or cause will be forever barred, without regard to any contrary legislation.

Without prejudice to the foregoing, you agree that, in its sole discretion, Amaryllis Sage LLC may bring any claim, cause of action, or dispute we have against you in any competent court in the country in which you reside that has jurisdiction over the claim.

Miscellaneous Information

Amaryllis Sage LLC reserves the right to freely assign our rights and obligations under these Terms of Use.

You will not transfer any of your rights or obligations under these Terms of Use to anyone else without our consent.

We reserve all rights not expressly granted to you.

This Contract (including additional terms that may be provided by us when you engage with a feature of the services) is the only agreement between us regarding Konseye: The Mentorship Network and supersedes all prior agreements.
